Merger of the companies HOLDUCT and RUE-RZN

The intention of merging the companies HOLDUCT Sp. z o.o. and RUE-RZN Sp. z o.o. constitutes one of the basic elements of the concept of the reorganization of the ZARMEN Capital Group. The purpose of the merger is to optimize the costs of the functioning of the Capital Group, to simplify its structure and to adapt this structure to the tasks arising from the current strategy of the ZARMEN Capital Group. In addition, the goal of the merger is to concentrate on effective management of all companies and improve the management of the Capital Group.

Merger of the companies HOLDUCT Sp. z o.o. and RUE-RZN Sp. z o.o. should result in a more effective use of the potential of the merged companies and obtaining economic and financial effects of direct and indirect synergy, including, among others: reduction of the operating costs, more efficient use of the assets of the merged companies, better allocation of cash, more effective use of employees' time, increase of the level of the pursued activity, better control over the level of costs related to the activities, increasing the cost-effectiveness of the pursued activities, strengthening the position of the Acquiring Company on the market and increasing its economic efficiency. The merger will ensure a desired concentration of capital and will allow for the development of better quality services. It will also counteract organizational and economic difficulties.

Subject to the adoption of relevant resolutions by the Extraordinary Meetings of the Shareholders of each Company, the Companies decide that the merger will take place on the terms and conditions set out in this Merger Plan.
